Terms of service
These Terms of Service (“Terms”) govern your access to and use of the website located at voirppt.com (the “Site”) and the purchase of products from Voir (“Voir,” “we,” “us,” or “our”). These Terms apply to wholesale customers, professional shops/installers, and online/retail customers (collectively, “you” or “Customer”).
By browsing, creating an account, requesting a quote, placing an order, or purchasing from the Site (or through invoices/quotes we issue), you agree to these Terms and all policies incorporated by reference (together, the “Agreement”). If you do not agree, do not use the Site or purchase products.

1. Scope, audience, and order of precedence
1.1 Who these Terms cover. These Terms govern:
-
Purchases through the Site (including Shopify checkout);
-
Purchases made via our quotes, invoices, order acknowledgments, payment links, and communications; and
-
Wholesale transactions, dealer purchases, and B2B sales, unless a signed agreement states otherwise.
1.2 Incorporated policies. Our Shipping, Returns/Refunds, and Privacy policies (if posted) are incorporated by reference and form part of this Agreement.
1.3 Order of precedence. If you and Voir sign a separate written agreement (e.g., master supply, reseller, credit terms, or a custom warranty addendum), that signed agreement controls only to the extent it conflicts with these Terms. Otherwise, these Terms control.
1.4 No reliance on informal statements. Verbal statements, chat messages, or informal emails do not modify these Terms unless expressly stated in a written amendment signed by Voir.
2. Eligibility and permitted use
2.1 Age and authority. You must be at least 18 years old and legally capable of entering a binding agreement. If you purchase on behalf of a business, you represent you have authority to bind that business.
2.2 Business/commercial use. Many of our products (including PPF rolls and related items) are intended for professional or commercial use. You are responsible for ensuring products are appropriate and lawful for your intended use.
2.3 Legal compliance. You agree to comply with all applicable laws and regulations, including import/export restrictions, customs rules, and applicable marketplace/platforms. Any products purchased from VOIR PPT LLC are not intended for resell unless otherwise stated via contractual or written agreement between both parties.
3. Accounts, security, and communications
3.1 Account information. If you create an account, you must provide accurate, current information and keep it updated.
3.2 Security. You are responsible for maintaining confidentiality of credentials and for all activity under your account. Notify us immediately at info@voirppt.com if you suspect unauthorized access.
3.3 Operational communications. You agree we may contact you about orders, quotes, shipping, warranty issues, verification, and support using:

Email (Google Workspace),

Phone/SMS (Nextiva),
-
WhatsApp and iMessage (if you choose to use those channels with us).
Marketing messages (including via Klaviyo) are governed by our Privacy Policy and applicable law. You can opt out of marketing communications at any time using the unsubscribe mechanism or by contacting us.
3.4 Call recording. Where permitted by law, calls may be monitored or recorded for quality, training, fraud prevention, and dispute resolution.
4. Product listings, quotes, availability, pricing, and taxes
4.1 Listings are invitations, not offers. Product listings and cart totals are invitations to purchase. Your order is an offer. We accept when we confirm shipment, provide a written acceptance, or charge/collect payment (as applicable).
4.2 Errors and corrections. We may correct errors in descriptions, pricing, availability, promotions, shipping charges, or lead times, even after an order is submitted. If a correction materially affects your order, we may cancel and refund or request your instructions.
4.3 Availability and substitutions. Inventory can change rapidly. We may:

Split shipments, ship partial orders, or backorder items; and/or
-
Substitute functionally comparable items only when reasonable and with notice where practicable (especially for wholesale).
4.4 Taxes and exemption requirements. You are responsible for all applicable taxes, duties, and fees.
Dealer/reseller tax exemption requires an approved reseller permit/certificate on file before invoicing. If we do not have approved documentation on file, we will charge applicable sales tax.
4.5 High-value order controls (≥ USD 10,000)
For single orders (or aggregated same-day orders) of USD 10,000 or more, we may require additional verification before processing or shipping, including:

Authorized buyer identity verification,
-
Business verification (EIN, business registration), and/or
-
Additional documentation reasonably necessary to reduce fraud and chargeback risk.
We may require cleared payment prior to shipment unless we have granted written credit terms.
5. Payment processing, authorization, and anti-fraud controls
5.1 Payment platforms. Online purchases may be processed through Shopify and Shopify-enabled payment processing options. We may also invoice via our systems (including Odoo) and accept other payment methods we make available.
5.2 Authorization. By submitting payment, you authorize Voir to charge your selected payment method for the total displayed/approved (including product price, taxes, shipping, and any approved add-ons).
5.3 Fraud prevention. We may:

Cancel, hold, or refuse any order if we suspect fraud, misuse, or unauthorized payment activity;
-
Require address verification, signature confirmation, or alternative payment methods.
5.4 No cash on delivery unless agreed. COD or pay-on-delivery is not available unless expressly agreed in writing.
6. Wholesale payment methods, ACH/wire, and late balances
6.1 Wholesale payment methods. Wholesale orders may be paid via credit/debit, wire, ACH, or other methods we approve. If we extend credit terms, those terms must be in writing.
6.2 Late balances. Any past due, undisputed balance may accrue interest at the lesser of 1.5% per month or the maximum permitted by law. You agree to pay reasonable collection costs (including attorneys’ fees) where permitted.
6.3 Setoff. To the extent permitted by law, we may set off amounts we owe you (credits, returns, rebates) against amounts you owe us.
7. Chargebacks and billing disputes
7.1 Contact us first. Before filing a chargeback, you agree to contact us at info@voirppt.com and provide a reasonable opportunity to resolve your concern.
7.2 Documentation for disputes. You agree that we may submit documentation to payment processors and banks to respond to chargebacks, including order logs, communications, carrier scans, and proof of delivery.
7.3 Chargeback abuse. If we reasonably determine a dispute is abusive or fraudulent, we may refuse future orders, require cleared payment methods only (wire/ACH), and/or disable certain payment options, consistent with law.
8. Shipping, carriers, Incoterms, risk of loss, and inspection/claims
8.1 Carriers. We may ship using common carriers and services such as UPS, FedEx, USPS, DHL, regional couriers, and LTL freight carriers for larger shipments. Carrier selection may vary by destination, service level, package size, and cost.
8.2 Shipping charges and timelines. Shipping costs, service levels, and estimated transit times are shown at checkout or in your quote/invoice. All timelines are estimates and not guarantees.
8.3 Incoterms (Wholesale / where specified). Unless otherwise agreed in writing:
FCA – Irvine, CA (Incoterms® 2020) — meaning delivery occurs when we hand the goods over to the carrier at our facility (or named place) in Irvine, California, and risk passes as defined under FCA.
Default named place: 17895 Skypark Cir. STE H, Irvine, CA 92614, USA.
8.4 Risk of loss and title (non-Incoterms retail orders). For retail/e-commerce orders not expressly governed by Incoterms, risk of loss passes to you upon delivery to the address you provide (subject to any non-waivable rights under applicable consumer protection law).
8.5 Inspection and claims deadline (required). Claims must be submitted within five (5) business days of delivery. This includes:

Shipping damage;
-
Shortages;
-
Incorrect items; and
-
Concealed damage discovered after delivery.
To submit a claim, email info@voirppt.com with your order number, description, and supporting photos (including packaging and labels). Failure to report within the deadline may void the claim to the fullest extent permitted by law.
8.6 Freight deliveries (pallet/LTL). If delivered by freight:
-
Inspect pallets immediately at delivery;
-
Note damage/shortage on the delivery receipt/BOL;
-
Take photos before moving goods indoors.
8.7 Refused or undeliverable shipments. If a shipment is refused or returned as undeliverable due to reasons not caused by us (incorrect address, failure to receive, refusal, etc.), you are responsible for shipping, return freight, re-delivery fees, and any carrier/storage charges.
9. Returns, refunds, RMAs, and refused/undeliverable shipments
9.1 RMA required; written approval required. All returns require prior written approval and a Return Merchandise Authorization (“RMA”). Do not ship any return until you receive written RMA approval from Voir.
9.2 Return conditions. Unless prohibited by law or expressly agreed:

Returned items must be unused, uninstalled, and in resalable condition with original packaging;
-
Custom-cut, special-order, clearance, and certain wholesale items may be final sale.
9.3 Restocking and shipping. Approved returns may be subject to restocking fees and you may be responsible for original and return shipping costs, unless the return is due to our error or a verified warranty defect.
9.4 No unauthorized returns. Returns sent without authorization may be refused, destroyed, or returned to sender at your expense.
10. Wholesale and reseller-specific terms (tax exemption, permits, resale)
10.1 Reseller documentation. As stated above, dealer/reseller tax exemption requires an approved reseller permit/certificate on file before invoicing. You are responsible for keeping documents current.
10.2 No diversion or misrepresentation. You may not misrepresent origin, warranty coverage, or product specifications when reselling. You must comply with all applicable laws and platform policies.
10.3 Wholesale finality. Wholesale sales are typically final except for verified shipping error, verified defect, or as agreed in writing.
10.4 Verification rights. For wholesale onboarding, high-value orders, or risk controls, we may request reasonable documentation to verify your business and authority (e.g., entity documents, EIN, reseller permit, authorized purchaser ID).
10.5 Confidentiality (wholesale). Wholesale pricing, terms, and non-public materials are confidential and may not be disclosed to third parties without our written consent.
11. Installation, professional-use products, and safety/handling
11.1 Installation risk. Paint protection film installation requires skill and proper environment/tools. You are solely responsible for installation results, surface preparation, and suitability for the vehicle/substrate.
11.2 No installation services. Unless expressly agreed in writing, Voir does not provide installation services and is not responsible for installer workmanship.
11.3 Chemical and handling safety. Follow all handling, storage, and safety guidance included with products and any applicable SDS/technical documents.
12. Prohibited conduct
You may not:

Violate law or third-party rights;
-
Attempt to gain unauthorized access to the Site or systems;
-
Scrape, crawl, or harvest data without permission;
-
Transmit malware, spam, or harmful code;
-
Use the Site to commit fraud or misrepresent identity/payment information.
13. Intellectual property and user content (reviews/media)
13.1 Our IP. All Site content (text, images, videos, logos, design, product documentation) is owned by Voir or its licensors and protected by law.
13.2 Limited license. We grant you a limited, revocable, non-transferable license to access and use the Site for lawful purposes.
13.3 User content license. If you submit reviews, photos, videos, or feedback, you grant Voir a worldwide, royalty-free license to use, reproduce, and display that content for business purposes (marketing, product pages, support), subject to applicable law and our Privacy Policy.
14. Privacy, data processing, and marketing
14.1 Privacy Policy controls. Our collection, use, and sharing of personal data are described in our Privacy Policy (incorporated by reference).
14.2 Systems we use. You acknowledge that we may process order and customer data using service providers such as:

Shopify (storefront/checkout and related services),
-
Odoo (order/inventory/accounting operations),
-
Google Workspace (email and business productivity),
-
Nextiva (phone/SMS and customer communications),
-
WhatsApp and iMessage (if you choose to communicate through them),
-
Klaviyo (customer messaging and marketing automation).
14.3 Operational vs. marketing communications. Transactional/order communications may be sent regardless of marketing preferences. Marketing communications require consent where required and include opt-out mechanisms.
15. Limited 10-Year Warranty (backed by Voir; terms + claims procedure)
15.1 Who backs and fulfills the warranty. The limited warranty described in this Section is provided, backed, and fulfilled by Voir for qualifying Voir-branded PPF products, unless a product listing or written document expressly states a different warranty provider for a specific item.
15.2 What the warranty covers (limited). Subject to the exclusions below, Voir warrants that qualifying PPF film will be free from manufacturing defects that materially affect performance under normal, intended use for ten (10) years from the date of purchase. Covered defects may include (where applicable) material failure such as cracking, delamination, or adhesive failure attributable to manufacturing defects.
15.3 What the warranty does not cover. This limited warranty does not cover:

Installer workmanship, installation errors, or improper surface prep;
-
Normal wear and tear, rock chips, scratches, abrasions, or impact damage;
-
Damage from accidents, misuse, neglect, improper maintenance, or improper storage/handling;
-
Damage from chemicals, solvents, fuels, harsh cleaners, pressure washing misuse, or environmental fallout;
-
Discoloration/yellowing caused by contamination, staining, or non-recommended care;
-
Use outside intended applications or outside recommended installation conditions;
-
Labor costs for removal/reinstallation, vehicle downtime, loss of use, or any indirect costs.
15.4 Your exclusive remedy. If a valid warranty claim is confirmed, Voir will, at its option:
-
Provide replacement film (same or comparable product), or
-
Provide a credit equal to the film purchase price actually paid for the affected material.
Labor, removal/reinstall costs, shipping, and incidental expenses are not covered unless Voir expressly agrees in writing.
15.5 Claims procedure (required).
To make a warranty claim, you must:

Email info@voirppt.com with subject line “Warranty Claim” and include:
-
Order number/invoice,
-
Photos and description of the issue,
-
Lot/batch info (if available),
-
Install details (installer name/shop, date, environment notes) if installed.

Submit the claim promptly after discovery and no later than five (5) business days after you first observe the issue where the issue is apparent upon delivery/initial inspection (see Section 8.5).
-
Cooperate with reasonable requests for additional information and, if requested, return a sample for inspection (shipping instructions provided by Voir).
Voir may deny claims where documentation is incomplete or where inspection indicates non-covered causes.
15.6 Disclaimer of expanded warranties. No employee, reseller, or installer is authorized to expand or modify this warranty unless in a written document signed by Voir.
15.7 Non-waivable consumer rights. Some jurisdictions do not allow certain warranty limitations. This warranty gives you specific legal rights, and you may have other rights that vary by jurisdiction.
16. Disclaimers
Except for the express limited warranty in Section 15 (and any non-waivable rights), all products and services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
17. Limitation of liability (no consequential damages)
To the fullest extent permitted by law:
-
Voir will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, vehicle downtime, loss of use, or loss of goodwill.

Voir’s total liability for any claim arising out of or relating to this Agreement will not exceed the amount you paid to Voir for the specific product(s) giving rise to the claim.
Some jurisdictions do not allow certain limitations; in that case, limitations apply to the maximum extent permitted.
18. Indemnification
You agree to defend, indemnify, and hold harmless Voir and its owners, officers, employees, and agents from claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement, your misuse of products, your resale activities, or your violation of law.
19. Force majeure
We are not liable for delays or failures due to events beyond our reasonable control, including supply shortages, carrier issues, labor disputes, pandemics, natural disasters, war, government actions, or cyber incidents.
20. Dispute resolution, arbitration, and class waiver
20.1 Informal resolution first. Before filing a claim, you agree to email info@voirppt.com with a detailed description and allow 30 days to resolve.
20.2 Binding arbitration. Except for small claims matters or requests for injunctive relief to protect IP/confidentiality, disputes arising out of or relating to this Agreement will be resolved by binding arbitration under the Federal Arbitration Act administered by the American Arbitration Association (AAA) under applicable rules.
20.3 Class waiver. You and Voir agree disputes will be brought only on an individual basis. No class actions or class arbitrations.
20.4 Opt-out (consumer-friendly). If you are an individual consumer, you may opt out of arbitration by sending written notice to info@voirppt.com within 30 days of your first purchase, including your name and order number. Opting out does not affect other Terms.
21. Governing law and venue
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles, and the FAA governs arbitration. Where a court action is permitted, venue will be in state or federal courts located in Orange County, California, unless prohibited by law.
22. Suspension, termination, and order cancellation
We may suspend or terminate access to the Site, accounts, or orders if we reasonably believe there is fraud, abuse, nonpayment, policy violation, or legal risk. We may also refuse service where permitted by law.
23. Electronic notices and signatures
You consent to receive notices electronically and agree that electronic signatures and records are binding to the extent permitted by law.
24. Changes to these Terms
We may update these Terms by posting a revised version with a new “Last Updated” date. Continued use after changes indicates acceptance.
25. Miscellaneous
If any provision is unenforceable, the rest remains effective. Headings are for convenience only. This Agreement is the entire agreement between you and Voir regarding the Site and purchases, except where a signed written agreement controls.
